	Terms & Conditions AOT Marketing Agent Agreement This Marketing Agent Agreement ("Agreement") contains the complete terms and conditions between you ("Marketing Agent") and, Accredited Online Training Pty Ltd (AOT), Submission by you of an AOT Marketing Agent Program Application in accordance with this Agreement constitutes your acceptance of and agreement to be bound by the terms and conditions of this Agreement. This Agreement will be a legally binding agreement between you and AOT on approval of your Marketing Agent Program Application. 1. Overview AOT is a registered training organisation providing nationally accredited Certificate and Diploma courses through an online environment. Participation in the AOT Marketing Agent Program requires AOT banners to be displayed on the Marketing Agent's website linking to AOT's website. Traffic generated from your website which results in a qualified online course purchase through AOT's website will entitle you to earn commission. We grant you a non-exclusive, revocable right to use our banners and other such images and/or text links for which we grant express permission, for the purpose of identifying your site as a program participant and linking to AOT's website. You may not modify the banners or any of our images in any way without our express permission. We reserve all of our rights to our trade names and trademarks and all other intellectual property rights. In the event of unprofessional conduct whereby you breach any provision of this Agreement, this Agreement is immediately terminated and all outstanding commissions will be forfeited. 2. Unsolicited Emails (Spam) Marketing Agents must not, at any time, use any link to AOT's website in any unsolicited email promotion. All email promotion activities must at all times fully comply with all relevant international laws. Any Marketing Agent considered by AOT to be in breach of this term will result in immediate termination of this Agreement. 3. Membership To become a member of the AOT Marketing Agent Program, you are required to complete the online AOT Marketing Agent Program Application. Your application will be assessed and AOT will notify you of your acceptance or rejection within 48 hours of your application submission. AOT may reject your application, and AOT may in future terminate your membership and participation in the AOT Marketing Agent Program, if we determine, in our sole discretion, that your website is not suitable for the Marketing Agent Program for any reason, including, but not limited to, inclusion of content that in any way promotes: . sexually explicit, pornographic or obscene material . violence or illegal activities . discrimination based on race, sex, religion, nationality, disability, sexual orientation or age . violate intellectual property rights. 4. Links AOT will make available to you banners, images and/or text links to AOT's website, containing AOT logos and words identifying AOT ("Links") which you may display on your website, provided you abide by the terms and conditions of this Agreement. AOT will email the banner, image and/or text links to you upon approval of your application. The Marketing Agent's website may display unlimited links, or remove such links, at anytime and without prior approval from AOT. Each Marketing Agent will be given a unique URL and User ID to access their administration account within the AOT Marketing Agent Program. This administration account will allow Marketing Agents to update their profile, view link traffic generated, qualified sales and commission earned. AOT reserves the right to terminate participation of any Marketing Agent considered to be inactive. Inactive means little or no activity through links with qualified sales, or non-placement of banner, image and/or text links for a period of sixty (60) days. AOT will provide instructions on how to format the links properly. You are responsible for ensuring the links are formatted correctly. We have NO responsibilities with regard to your site. AOT shall have no liability for any indirect, incidental, special or consequential damages or any loss of revenue or profits arising under or with respect to this agreement or the program. In addition, AOT aggregate liability arising under or with respect to this agreement or the program shall in no event exceed total referral fees paid or payable to the affiliate under this agreement. AOT have the right, in our sole discretion, to monitor your website at any time and from time to time to determine if you comply with the terms of this Agreement. 5. Course Purchases We will be solely responsible for processing every course purchase made by customers who follow the links from your website to the AOT website. Customers will use AOT's secure online shopping cart. AOT reserve the right, in our sole discretion, to reject any course purchase that does not comply with certain requirements, which we may establish from time to time. All aspects of processing, customer service, enrolment, cancellations, and payment processing will be the responsibility of AOT. AOT will track the amount of sales generated by your website and will make this information available to you through your unique URL administration account via the AOT website. To permit accurate tracking, reporting, and commissions, you must ensure that the links between your website and AOT's website are properly formatted as per the instructions provided by AOT. You will be responsible for ensuring the links are formatted properly. 6. Commissions We will pay you a commission of ten (10%) percent, or a FIXED Rate on specific course(s), you will be advised of the applicable rate of commission from time to time ("Commission Rate"). A commission will only be paid if the customer purchasing on the AOT website is tracked by the Marketing Agent Program software through your Link. For a sale to generate a commission, the customer must follow the link from your website to AOT's website, purchase the course/s using our secure online shopping cart and remit full payment to us. However, no commission will be paid for a purchase where payment for which is credited to any customer. AOT will pay your commission on a monthly basis within approximately 15 days following the end of each month. Commission payments will only be issued once your account balance exceeds AU$200. AOT will credit funds to your nominated PayPal account for the commission earned on course purchases paid by the customer during the preceding month. If a course purchase which has generated commission is cancelled by the customer, AOT will deduct the corresponding commission from your next monthly payment. AOT also retains the right to review all commissions for possible fraud. Any incidence of fraud constitutes a breach of this Agreement, and AOT retains full authority to terminate this Agreement immediately. Marketing Agents residing in Australia: .Australian residents must provide a valid ABN to receive commission payments .A nominated PayPal account is required to receive commission payments .Commission includes GST for Australian residents .Commissions are calculated in Australian dollars only .Payments are made in Australian dollars for Australian residents .Payments are made monthly within approximately 15 days from the end of the month .Commissions are paid when your balance exceeds AU$200 Marketing Agents residing outside Australia: .A nominated PayPal account is required to receive commission payments .Commissions are calculated in Australian dollars .Payments are made in US dollars only for non-Australian residents .Payments to non-Australian residents are exclusive of any goods and services tax and other taxes or charges which may apply to the commission by any relevant law. You must meet the liability for any applicable tax, charge or levy in your territory. .Payments are made monthly within approximately 15 days from the end of the month .Commissions are paid when you reach a minimum owing of AU$200 7. Policies Customers who purchase courses through the Marketing Agent Program are customers of AOT. All AOT policies and procedures concerning customer service, course enrolment and students applies to these customers. AOT may revise policies and procedures at any time. 8. License Subject to the terms and conditions of this Agreement, AOT grants to the Marketing Agent a non-exclusive, non-transferable, limited, revocable license to use AOT banners, images and/or text links, or any other advertising materials provided to the Marketing Agent by AOT. The Marketing Agent acknowledges: .Any license granted under this Agreement does not constitute any transfer of ownership of the Materials whatsoever and all rights not expressly granted hereunder are reserved to AOT .To use only current Materials as provided by AOT and that these Materials may not be modified in any way .Not to use the Materials for purposes other than selling AOT courses .Not to use the Materials in an unlawful manner or in any way that will detrimentally affect AOT .All intellectual property rights, including trademarks, copyright, patent rights and applications, trading names, business names and service marks related to the foregoing shall remain AOT's sole property, including rights in and to any derivatives thereof .This license shall terminate upon the effective date of the expiration or termination of this Agreement 9. Websites Every effort will be made to ensure that the AOT website is functional and available for customers referred through your Marketing Agents Program link. AOT have NO responsibilities with regard to your site. AOT shall have no liability for any indirect, incidental, special or consequential damages or any loss of revenue or profits arising under or with respect to this agreement or the program. In addition, AOT aggregate liability arising under or with respect to this agreement or the program shall in no event exceed total referral fees paid or payable to the affiliate under this agreement. Upon the termination of this Agreement, you will immediately remove from your website, all Links and Licensed Material created by AOT and/or provided by or on behalf of AOT to you pursuant to this Agreement or in connection with the Marketing Agent Program. 10. Termination The term of this Agreement will commence on the date of approval of your Marketing Agent Program Application and will end when terminated by either Party. AOT may terminate this Agreement at any time for any reason or no reason by email notification. You may terminate this Agreement at any time for any reason or no reason by email notification. Any final commission payment due to the Marketing Agent will be paid at the end of the next payment period. In the event of unprofessional conduct whereby you breach any provision of this Agreement, this Agreement is immediately terminated and all outstanding commissions will be forfeited. 11. Variation AOT reserve the right to alter these terms and conditions contained in this Agreement, at any time as necessary with or without notice. A change notice or a new agreement will be posted on the AOT website. If any variation is unacceptable to the Marketing Agent, your only option is to terminate this Agreement. A Marketing Agent's continued program participation following the posting of the change notice or new agreement will constitute the Marketing Agent's agreement to the changes. 12. Limitation of Liability AOT will not be liable for indirect, consequential, special or punitive loss or damage, in connection with this Agreement or the Marketing Agent Program or any act or omission on its part in relation to its obligations under this Agreement, including without limitation, payments to third parties, loss of revenue, profits, goodwill, data however caused, whether or not, such loss or damage was foreseeable or contemplated by AOT, or AOT is advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Marketing Agent Program will not exceed the total commissions paid or payable to you under this Agreement. 13. Relationship of Parties The Marketing Agent and AOT are independent contractors, and nothing in this Agreement shall be construed to create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. 14. Disclaimers AOT make no express or implied warranties or representations with respect to the Marketing Agent Program or any products or other items sold through the Marketing Agent Program (including without limitation warranties of fitness, merchantability, non-infringement, or any implied warranties arising out of a course of performance, dealing, or trade usage). In addition, we make no representation that the operation of the AOT web site will be uninterrupted or error-free, and will not be liable for the consequences of any interruptions or errors. 15. Confidentiality AOT may disclose to you certain information as a result of your participation in the Marketing Agent Program, which information we consider to be confidential (herein referred to as "Confidential Information") which shall include, but not be limited to, any modifications to the terms and provisions of this Agreement made specifically for your website and not generally available to other members of the Marketing Agent Program, website, business and financial information relating to AOT customer and vendor lists relating to AOT and pricing and sales information for AOT and any members of the Marketing Agent Program, other than you. Confidential Information shall remain strictly confidential and secret and shall not be utilized, directly or indirectly, by you for your own business purposes or for any other purpose except and solely to the extent that any such information is generally known or available to the public or if the same is required by law or legal process. 16. Indemnification You hereby agree to indemnify, defend and hold harmless AOT and, its shareholders, officers, directors, employees, agents, Marketing Agents, successors and assigns, from and against any and all claims, losses, liabilities, damages or expenses (including lawyer fees and costs) of any nature whatsoever incurred or suffered by us (collectively the "Losses"), in so far as such Losses (or actions in respect thereof) arise out of or are based on (i) any claim or threatened claim that our use of the Marketing Agent Materials infringes on the rights of any third party; (ii) the breach of any representation or warranty made by you herein; or (iii) any claim related to your website. 17. Entire Agreement The provisions contained in this Agreement constitute the entire agreement between the parties with respect to the subject matter of this Agreement, and no statement or inducement with respect to such subject matter by any Party which is not contained in this Agreement shall be valid or binding between the Parties. 18. Independent Investigation You acknowledge that you have read this Agreement, have had an opportunity to consult with your own legal advisors if you so desired, and agree to all its terms and conditions. You understand that we may at any time, directly or indirectly, solicit customer referrals on terms that may differ from those contained in this Agreement or operate Web sites that are similar to or competitive with your Web site. You have independently evaluated the desirability of participating in the Marketing Agent Program and are not relying on any representation, guarantee, or statement other than as set forth in this Agreement. 19. Miscellaneous This Agreement will be governed by the laws of Australia, without reference to rules governing choice of laws. Any legal proceeding of any nature brought by either Party against the other Party to enforce any right or obligation under this Agreement, or arising out of any matter pertaining to this Agreement shall be submitted for trial, without a jury, before the courts located in Queensland, Australia and you irrevocably consent to the jurisdiction of such courts. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and enforceable against the Parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement. In any action to enforce or interpret any provision of this Agreement, the prevailing party will be entitled to recover its lawyer fees and costs. I indicate my approval of this Agreement and request to become a Marketing Agent under these terms and conditions by completing and submitting the AOT Marketing Agent Program Application.
